Swedish company Einride has agreed to acquire Flipturn, a developer of charging and energy management software for electric fleets. The all stock deal is expected to create North America’s largest heavy duty charging network and strengthens Einride’s presence in the United States as the company continues to scale its North American operations.

The acquisition brings together Einride’s freight platform with Flipturn’s charging and energy tools, resulting in what the companies describe as the first fully integrated electric freight technology stack. This includes charge point management, energy systems and a brokerage layer that connects fleets to third party charging networks.

Doubling Einride’s energy portfolio

Flipturn brings an established customer base representing more than 250 megawatts of charging capacity to Einride, including some of North America’s largest truckload transportation, autonomous and last mile delivery fleets. The addition more than doubles the energy currently under management at Einride.

Einride’s chief executive Roozbeh Charli described the move as a decisive step in the company’s US scaling strategy, noting that Flipturn will strengthen the software layer supporting electric heavy duty freight optimisation. He suggested the deal could position Einride as the first vertically integrated player in the electric freight technology space.

Flipturn’s cofounder and chief executive Katie Siegel indicated that Einride’s decade of experience in autonomous and electric freight was a key factor behind the transaction, adding that existing Flipturn customers can expect to keep working with the same team and platform, now backed by Einride’s broader technology and scale.

How the technology works together

Einride’s AI driven platform, known as Saga AI, has already supported more than 19 million electric miles worldwide by optimising vehicle utilisation, energy consumption and overall operational performance. Flipturn’s technology is expected to add further capability by using AI to predict charging times, optimise power delivery and adapt to the specific vehicle and battery behaviour of each fleet over time.

Beyond software, Flipturn also handles practical charging operations such as keeping chargers online, managing driver access and payments, and coordinating on site controllers. Its energy management tools are designed to reduce grid related costs, including time of use tariffs and peak demand charges, helping fleets lower their total cost of energy.

By combining charging demand across a larger customer base, Einride also expects to gain more competitive access to third party charging networks, a factor that could benefit fleets operating across a wide geographic area.

Deal terms and timeline

The transaction values Flipturn at approximately 38.4 million US dollars, subject to adjustment, to be paid in Einride American depositary shares. The exact number of shares issued to Flipturn stockholders will be based on the volume weighted average share price of Einride ADSs between June 10, 2026, the company’s first day of trading, and two trading days before closing. As of market close on July 20, 2026, that average price stood at roughly 10 US dollars per share.

Flipturn stockholders will also be entitled to additional shares tied to future milestone based earnout targets. The acquisition is expected to close in July 2026, pending customary closing conditions and regulatory approvals.
